GENERAL TERMS & CONDITIONS • VERSATILE ACADEMY 2024

1. Context

Versatile Academy is a workshop program developed by Versatile Forever and organised in close collaboration with Fashion in Flux and Opnieuw Goed. The program is made possible by Gemeente Rotterdam and the Creatieve Industry Fund.

The organization of Versatile Academy consists of:

Versatile Forever: Inez Naomi Correa Alves (artistic management)

Fashion in Flux: Esther Muñoz Grootveld & Yophi Ignacia (business management).

For the project, the organisation works closely with textile collector and sorter Opnieuw Goed.

For the first edition in 2024, 4 (fashion) makers are invited to participate. Individually and as a group, the participants explore new possibilities for sorting and repurposing used textiles, within the local fashion chain. Under the guidance of experts, they work towards feasible ideas and concepts.

2. Work method and meetings

The Versatile Academy trajectory lasts approximately 6 months (between June and December 2024) and consists of the following program elements:

Academy Days

During these events we invite inspiring guest speakers and experts to give master classes around the theme of upcycling / sustainable fashion. These events are open to Versatile Academy participants as well as wider audiences.

Workshops

The Academy Days are followed by Workshops. The Workshops are open to Versatile Academy participants only. In the Workshops they will actively work with an (international) guest / expert, in the sorting center of Opnieuw Goed.

Creator’s Days

During the Creator's Days the participants of the Versatile Academy will be individually coached in their work process, by Inez Naomi Correa Alves and external guests, in the sorting center of Opnieuw Goed.

Academy Nights

The Academy Nights are informal gatherings where participants of Versatile Academy can invite their network. The evenings are small-scale and intended for community-building and exchange. The evenings take place at varying locations around the city.

The program elements as described above will take place four times in 2024, always clustered as a series within one week. If possible, the Academy Days and Workshops will take place on one same day within this week. The Creator's Days and Academy Nights take place on a different day within this week. To conclude the Versatile Academy, a final presentation / showcase will take place at the end of 2024, in a form to be determined.

3. Obligations and Responsibilities

The organization:

• develops the program of the Versatile Academy;
• organizes, plans and produces the program elements;
• regularly informs participants and coordinates with them;
• guides the participants throughout the program;
• is the point of contact for questions and comments regarding the program;
• takes care of communication, financial administration and wrap-up of the program.

The participant:

• is present at the events/meetings mentioned in point 2, and is available for contact and consultation between events/meetings;
• actively engages with his/her/their fellow participants to develop idea(s) or solution(s) that demonstrate quality, originality and commercial/social value;
• shows commitment, responsibility and enthusiasm leading up to and during the organized events / meetings and throughout the process;
• communicates regularly with the organization about planning, progress and interim results;
• cooperates in communication and promotion about the project.

4. Terms and Conditions

4.1

Dates and times of events/meetings are determined by the organization and will be announced at least 3 weeks in advance. The organization reserves the right to change dates of events/meetings up to 7 days in advance if circumstances demand it. 

Participants are expected to make themselves available during the events/meetings mentioned under 2. They can only be absent at events/meetings in very special personal or unexpected situations. In case of absence, further participation will be discussed and the fee will be paid pro rata.

4.2

In the responsibilities as described in this document are met, a total fee of up to €3,000 ex. VAT per participant will be paid. All costs, including necessary travel and expenses, fall within this amount. The total amount will be made available by the organization in three installments:

€500 ex. VAT after completing the first series of Academy events/meetings.

€ 2,000,- ex. VAT after presenting a feasible concept / idea to the organization.

€ 500,- ex. VAT after completing the entire process and delivering a final presentation.

Payment takes place after receipt of an invoice from the participant. On the invoice the participant mentions his/her address, Chamber of Commerce number and VAT number. If the participant is not registered as an entrepreneur at the Chamber of Commerce, he / she / they should indicate this in advance on the registration form.

4.3

The organization does not take out insurance policies for the participants in any sense.

Participants are personally responsible for taking out insurance.

4.4

This agreement can only be terminated during the process by submitting a written request by the participant to the organization, giving good cause. Early termination may affect the financial compensation.

5. Privacy and use of data

For the Versatile Academy, Versatile Forever and Fashion in Flux collect information and data from participants and others involved. The organization commits itself to handle this with the utmost care and responsibility and to follow the guidelines as stated in the Personal Data Protection Act.

6. General conditions

6.1

All proposals developed by participant(s) will not be used by the organization other than for the Versatile Academy, unless otherwise agreed in writing with the participant. If the participant wishes to present his/her/their ideas, proposals or results outside the context of the Versatile Academy, he/she/they commit(s) to crediting the Versatile Academy.

6.2

The organization and participant will exercise the utmost care where it concernsmaking use of each other's insights, concepts and plans, and where possible andapplicable mutually credit each other in case of publication.

6.3

During and after completion of the project, the participant will not publish any information about the ideas / concepts that other participants develop(d) during within the Versatile Academy, without prior consent of the participants concerned. Photos of participants and / or employees of the organization may not be shared / published without prior consent of these participants / the organization.

6.4 

During meetings and events of Versatile Academy, photo, audio or video recordings may be made. By accepting these conditions, the participant gives the organization permission to use this material without restriction for communication, press or promotional purposes.

6.5.

We agree all of the above on the condition of funding for the Versatile Academy.

7. Choice of law and forum

7.1. 

Dutch law applies to this agreement as well as to any aspect related to the application.

7.2. 

Disputes related to this agreement or any aspect related to and ensued from the application, will be submitted to the competent court in Rotterdam (the Netherlands).

ALGEMENE VOORWAARDEN • VERSATILE ACADEMY 2024

1. Context

Versatile Academy is een workshoptraject, ontwikkeld door Versatile Forever en uitgevoerd in nauwe samenwerking met Fashion in Flux en Opnieuw Goed. Het traject wordt mede mogelijk gemaakt door Gemeente Rotterdam en Stimuleringsfonds voor Creatieve Industrie.

De organisatie van het project bestaat uit:

• Versatile Forever: Inez Naomi Correa Alves (artistieke leiding)
• Fashion in Flux: Esther Muñoz Grootveld & Yophi Ignacia (zakelijke leiding)

Voor het project wordt nauw samengewerkt met textielinzamelaar en sorteerder Opnieuw Goed.

Voor de eerste editie in 2024 worden 4 (mode)makers uitgenodigd om deel te nemen. De deelnemers onderzoeken individueel en als groep nieuwe mogelijkheden om tweedehands textiel te sorteren en te herbestemmen, binnen de lokale modeketen. Onder begeleiding van experts werken ze toe naar uitvoerbare ideeën en concepten.

2. Werkstructuur en bijeenkomsten

Het traject van de Versatile Academy duurt ca. 6 maanden (tussen juni en december 2024) bestaat uit de volgende programma-onderdelen:

Academy Days

Tijdens deze bijeenkomsten nodigen we inspirerende gastsprekers en experts uit om een inspirerende masterclass te geven, rond het thema upcycling / duurzame mode. Deze events zijn zowel open voor deelnemers aan de Versatile Academy als voor breder publiek.

Workshops

De workshops volgen op de Academy Days. De workshops zijn alleen toegankelijk voor de deelnemers aan de Versatile Academy. In de workshops gaan zij actief aan het werk met een (internationale) gast / expert, in het sorteercentrum van Opnieuw Goed.

Creator’s Days

Tijdens de Creator’s Days worden de deelnemers aan de Versatile Academy individueel gecoached in hun werkproces, door Inez Naomi Correa Alves én externe gasten, in het sorteercentrum van Opnieuw Goed.

Academy Nights

De Academy Nights zijn informele bijeenkomsten waar deelnemers hun netwerk kunnen uitnodigen. De avonden zijn kleinschalig en bedoeld voor community-vorming en uitwisseling. De avonden vinden plaats op wisselende locaties in de stad.

Bovengenoemde reeks van programma-onderdelen vindt vier keer plaats in 2024, steeds als serie geclusterd binnen één week. De Academy Days en Workshops vinden zo mogelijk plaats op één dezelfde dag binnen deze week. De Creator’s Days en Academy Nights vinden plaats op een andere dag van deze week. Ter afsluiting van de Versatile Academy vindt eind 2024 een eindpresentatie / showcase plaats, in nader te bepalen vorm. 

3. Verplichtingen en verantwoordelijkheden

De organisatie:

• ontwikkelt het programma van de Versatile Academy;
• organiseert, plant en produceert de programma-onderdelen;
• informeert deelnemers regelmatig en stemt met hen af;
• begeleidt de deelnemers in het traject;
• is aanspreekpunt voor vragen en opmerkingen m.b.t. het traject;
• draagt zorg voor de communicatie, financiële administratie en afwikkeling van het traject.

De deelnemer:

• is aanwezig bij de onder punt 2 genoemde momenten, en is tussen bijeenkomsten door beschikbaar voor contact en overleg;
• zet zich samen met zijn/haar/hun mede-deelnemers actief in om idee(ën) of oplossing(en) te ontwikkelen die getuigen van kwaliteit, originaliteit en commerciële/maatschappelijke waarde;
• toont inzet, verantwoordelijkheid en enthousiasme in aanloop naar en tijdens de georganiseerde bijeenkomsten en gedurende het gehele traject;
• communiceert zo gevraagd met de organisatie over planning, voortgang en tussentijdse resultaten;
• werkt in overleg mee aan communicatie- of pers-uitingen rond het traject.

4. Voorwaarden deelname

4.1

Data en tijden van bijeenkomsten worden bepaald door de organisatie en worden minstens 3 weken van tevoren aangekondigd. De organisatie behoudt zich het recht voor om data van bijeenkomsten maximaal 7 dagen voor aanvang te wijzigen als de omstandigheden hierom vragen. 

Deelnemers worden geacht zich beschikbaar te maken tijdens de onder 2 genoemde momenten. Zij zijn uitsluitend afwezig bij bijeenkomsten in zeer bijzondere persoonlijke of onverwachte situaties. Bij verzuim wordt verdere deelname ter bespreking gesteld en wordt de vergoeding naar rato uitgekeerd.

4.2

Bij voldoende aanwezigheid, en als er voldaan wordt aan de verantwoordelijkheden zoals omschreven in dit document, wordt een totale vergoeding van maximaal €3.000 ex. BTW per deelnemer uitgekeerd. Alle kosten, ook noodzakelijke reis- en onkosten, vallen binnen dit bedrag. Het totaalbedrag wordt door de organisatie in drie betalingen beschikbaar gesteld:

• € 500,— ex. BTW na het volbrengen van de eerste reeks Academy bijeenkomsten.
• € 2.000,— ex. BTW na het presenteren van een uitvoerbaar concept / idee aan de organisatie.
• € 500,— ex. BTW na het volbrengen van het gehele traject en het opleveren van een eindpresentatie.

Betaling vindt plaats na ontvangst van een factuur van de deelnemer. Op de factuur vermeldt de deelnemer zijn/haar/hun adresgegevens, KVK nummer en BTW nummer. Wanneer de deelnemer niet ingeschreven staat als ondernemer bij de Kamer van Koophandel, dient hij / zij / hen dit vooraf op het inschrijfformulier aan te geven.

4.3

De organisatie sluit in geen enkele zin verzekeringen af voor de deelnemers. Deelnemers zijn zelf verantwoordelijk voor het afsluiten van verzekeringen.

4.4

Deze overeenkomst kan tussentijds alleen verbroken worden door een schriftelijk verzoek van de deelnemer aan de organisatie, met opgaaf van gegronde reden. Tussentijdse beëindiging kan van invloed zijn op de uiteindelijke vergoeding.

5. Privacy en gebruik gegevens

Versatile Forever en Fashion in Flux verzamelen ten behoeve van Versatile Academy gegevens en data van de deelnemers en betrokkenen. Door de registratie van de gegevens verbindt de organisatie zich ertoe hier met de grootst mogelijke zorg en verantwoordelijkheid mee om te gaan en de richtlijnen zoals gesteld in de Wet bescherming persoonsgegevens te volgen. 6. Algemene bepalingen

6.1

Alle voorstellen, ontwikkeld door deelnemer(s), zullen door de organisatie niet anders gebruikt worden dan voor de Versatile Academy, mits schriftelijk anders overeengekomen met de deelnemer. 

Wanneer de deelnemer zijn/haar/hun ideeën, voorstellen of resultaten wil presenteren buiten de context van de Versatile Academy, dan dient hij/zij/hen de Versatile Academy te vermelden.

6.2

De organisatie en deelnemer zullen de grootst mogelijke zorgvuldigheid betrachten waar het gaat om het gebruik maken van elkaars inzichten, concepten en plannen, en waar mogelijk en van toepassing elkaar wederzijds crediteren in geval van publicatie.

6.3

Gedurende en na afloop van het project zal de deelnemer geen informatie publiceren over de ideeën / concepten die andere deelnemers ontwikkel(d)en tijdens binnen de Versatile Academy, zonder voorafgaande toestemming van de betreffende deelnemers. Foto’s van deelnemers en/of medewerkers van de organisatie mogen niet gedeeld / gepubliceerd worden zonder voorafgaande toestemming van de betreffende deelnemers / de organisatie.

6.4 

Tijdens de bijeenkomsten van Versatile Academy kunnen foto-, audio- of video-opnamen gemaakt worden. Met het accepteren van deze voorwaarden geeft de deelnemer de opdrachtgever toestemming om dit materiaal onbeperkt te gebruiken voor communicatie-, pers- of promotiedoeleinden.

6.5.

Dit alles komen wij overeen op voorwaarde van financiering van de Versatile Academy.

7. Rechts- en forumkeuze

7.1. 

Op deze overeenkomst en al hetgeen daarmee verband houdt, is het Nederlands recht van toepassing.

7.2. 

Geschillen met betrekking tot deze overeenkomst of met betrekking tot al hetgeen daarmee verband houdt of daaruit voortvloeit, zullen aan de bevoegde rechter in Rotterdam (Nederland) worden voorgelegd.
